Terms of Service

By accessing or using metaswap.xyz (the “Site”), the Metaswap mobile app, or any products or services offered by Metaswap LLC (“Metaswap,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Site or our services.

These Terms apply to businesses and agencies that subscribe to the platform and fund campaigns, and to creators who accept campaign work and are paid for it. Sections addressed to one audience are labelled as such. Our Funding & Refund Policy forms part of these Terms, and our Privacy Policy explains what we collect and why.

Where you accept these Terms in the product — at sign-up, at subscription checkout, or when authorizing campaign funding — we record which version you accepted, when, and from what IP address, and retain that record. We do this so that questions about what was agreed can be answered from evidence rather than recollection.

Metaswap provides software. We operate an operating system for creator campaigns: tooling to create and configure campaigns, discover and invite creators, form and store agreements, receive and review deliverables, verify published performance, record content rights, calculate what is owed, and instruct payouts. Creators use Metaswap to find campaigns, accept terms, submit work, and receive payment for it.

There are two distinct commercial relationships here, and it matters that they are not confused:

• What a business buys from Metaswap is access to that software, under a subscription. See Platform Access & Subscriptions.
• What a business pays creators is its own money, funded by the business into its own campaign balance and paid out to creators under agreements between the business and those creators. Metaswap is not the buyer of the creator’s services. See Campaign Funding.

We do not guarantee any particular level of earnings, campaign availability, creator performance, content performance, or business outcome.

Business accounts are subscription-based. Your subscription buys access to the Metaswap platform for the billing period — the campaign tooling, creator marketplace access, agreement and rights records, verification and analytics, team seats, and support that your plan includes, at the usage limits published on our Pricing page.

Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time; cancellation stops the next renewal and you keep access through the end of the period you have already paid for. Except where required by law, subscription fees are not refundable for periods in which the platform was available to you. Where a free trial is offered, we tell you its length before it starts and you may cancel during it without being charged.

If your subscription lapses, campaigns you have already funded continue to completion and creators continue to be paid from your funded campaign balances — losing platform access never strands a creator who has done the work.

Money you put toward creators is your money. You fund a campaign balance from your own payment method, by a separate and specific authorization each time — funding is never automatic, never bundled into your subscription charge, and never initiated by Metaswap on your behalf.

Before each funding authorization we show you a breakdown of exactly what you are being charged: the amount going to your campaign balance, the Metaswap platform fee, payment processing costs, and any applicable tax. You authorize that specific total.

Funded amounts are held as reserved campaign funds in your campaign balance and are recorded in an immutable ledger. They are committed against creator agreements as creators are accepted and as work is approved, and are released to creators under those agreements. Until they are committed, unspent reserved funds remain yours and can be returned to you under our Funding & Refund Policy.

Reserved campaign funds are held by Metaswap and its payment providers in the ordinary course of business. They are not held in a trust account, not held by a licensed escrow agent, and not insured. Metaswap acts as a payment facilitator and record-keeper between you and the creators you engage; the agreement to produce or publish content is between you and the creator.

A campaign cannot receive creators until it is funded and has budget available to pay them. This is enforced by the platform, not left to good intentions: unfunded campaigns are not discoverable by creators, cannot accept applications, and cannot issue invitations.

In addition to your subscription, Metaswap charges a platform fee on creator-related value you move through the platform. The rate is set by your plan and is shown to you before every funding authorization.

The fee rate is determined by our servers from your plan at the moment you fund, and the plan and fee version in force are recorded with each funding event. Changing plans later does not retroactively change the economics of a campaign you have already funded.

The platform fee applies to amounts funded toward creator compensation. It does not apply to your subscription charge, to taxes, to payment-processing costs, or to media you buy outside Metaswap.

Refund eligibility for reserved campaign funds, committed funds, platform fees, and subscription charges is set out in our Funding & Refund Policy, which forms part of these Terms.

Bring problems to us first. If you believe you have been charged in error, that a campaign was not delivered as agreed, or that funds were misapplied, contact info@metaswap.xyz and we will investigate and respond. Most disputes are a records question and we can usually resolve them quickly, because every charge, agreement acceptance, approval, and payout is individually recorded.

Initiating a payment dispute or chargeback with your card issuer instead of contacting us — for platform access that was made available to you, or for campaign funds already committed or paid to creators under agreements you accepted — is a breach of these Terms. Creators have by then done the work and been paid; a reversal takes that money from Metaswap, not from the creator.

Where a dispute is raised, we will present the records we keep for exactly this purpose, which may include: your acceptance of these Terms and the Funding & Refund Policy with version, timestamp, and originating IP address; your specific authorization of each funding amount and the fee breakdown you were shown; the campaign agreements accepted by you and by each creator, with their content hashes; the deliverables submitted and approved; verified performance data; and the immutable ledger of every movement of your funds.

We may suspend an account with an open chargeback on committed or delivered value until it is resolved, and may offset amounts reversed against balances held for that account.

You must be at least 18 years old and able to form a binding contract to use Metaswap. During onboarding you must provide accurate information, including your name, date of birth, and country, which we use to verify your age and payout eligibility. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.

Creators earn by submitting eligible content within a brand campaign and being paid per verified view that content receives, at the rate defined by the campaign. Earnings are subject to the following:

• Verification. Views are measured using public performance metrics from your connected social accounts and are subject to verification. Only views we can verify count toward earnings.
• Campaign budgets. Each campaign has a fixed budget. Once a campaign budget is exhausted, further views may not accrue additional earnings.
• Adjustments. We may withhold, reverse, or adjust earnings that result from invalid, fraudulent, manipulated, or unverifiable activity, or that violate these Terms or a campaign’s requirements.

Payouts are processed through our payments partner, Whop, which collects the identity and banking information needed to pay you and may perform identity verification (KYC). Submitted content and associated earnings are subject to a review period and are automatically approved after a 10-day window unless flagged for review or adjustment. You are responsible for providing accurate payout details, and payouts are subject to Whop’s own terms and processing requirements. Metaswap is not responsible for delays or failures caused by inaccurate payout information or by the payment provider.

Metaswap connects to third-party social platforms — including TikTok, Instagram, YouTube, and X (Twitter) — through our integration partner Zernio. Your use of those platforms is governed by their own terms and policies, and you are responsible for complying with them. Metaswap does not own, operate, or control these platforms and is not responsible for their availability, decisions, metric reporting, or any changes they make to their services or access.

You agree not to:

• Generate or submit fake, bot, purchased, or artificially inflated views, likes, or engagement
• Manipulate metrics or use any method to misrepresent the performance of your content
• Engage in fraud, misrepresentation, or abuse of campaigns or the payout system
• Submit content you do not have the rights to, or that is unlawful or infringing
• Create multiple or fraudulent accounts, or circumvent eligibility or verification
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the services

Violations may result in withheld or reversed earnings, suspension, or termination of your account.

Metaswap lets creators submit content and interact through the app. We have zero tolerance for objectionable content or abusive behavior. By using Metaswap you agree not to create, submit, or transmit any content, and not to engage in any conduct, that:

• is unlawful, or promotes or facilitates illegal activity;
• is harassing, threatening, bullying, hateful, or that demeans or incites violence against any person or group based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or any other protected characteristic;
• is sexually explicit, pornographic, or sexualizes minors in any way;
• is violent, graphic, or gratuitously disturbing, or that glorifies self-harm; or
• infringes another person’s intellectual-property, privacy, or publicity rights.

Reporting and blocking. Every piece of user content in the app can be reported, and you can block any user directly from their content. Reports go to our moderation team.

Our commitment. We review reports of objectionable content and abusive users and act on them within 24 hours — removing the content, and ejecting the responsible user where warranted. Accounts that post objectionable content or abuse other users may be suspended or terminated, and any associated earnings withheld. This policy is in addition to the prohibited conduct described above.

Content you submit to a brand campaign is paid promotional content. U.S. Federal Trade Commission guidelines, and equivalent rules in other jurisdictions, require that a material connection between you and a brand be disclosed clearly and conspicuously in the post itself.

• You agree to include a clear disclosure — such as #ad, #sponsored, or a platform “Paid partnership” label — on every piece of content you submit for a campaign, in addition to any disclosure the campaign brief specifies.
• The disclosure must be easy to notice and understand, not buried in a block of hashtags or hidden behind a “more” link.
• You are responsible for complying with all advertising, endorsement, and consumer- protection laws that apply to you. Content that fails to disclose a paid relationship may be rejected and may make you ineligible for payment.

All original content on the Site and in the app — including software, copy, design, and brand assets — is the intellectual property of Metaswap LLC unless otherwise indicated. We grant you a limited, non-exclusive, non-transferable right to use the services in accordance with these Terms.

You retain ownership of the content you create and submit. By submitting content to a campaign, you grant Metaswap and the participating brand a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and reference that content for the purpose of operating, verifying, and promoting the specific campaign you submitted it to. This license does not, by itself, permit a brand to use your content in separate paid advertising or other campaigns; any such use requires a separate agreement between you and the brand.

Our services rely on third-party providers, including Clerk (authentication), Zernio (social integrations), and Whop (payments and payout verification). Your use of features powered by these providers may also be subject to their terms. Metaswap is not responsible for the acts, omissions, or availability of third-party services.

You are solely responsible for determining, reporting, and paying any taxes owed on earnings you receive through Metaswap. Where required by law, we or our payments partner may collect tax information and issue tax forms. Metaswap does not provide tax advice, and you should consult your own advisor regarding your obligations.

The services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted or error-free, that views or earnings will reach any particular level, or that campaigns will be available at any given time. Content performance depends on your content, your audience, and third-party platforms outside our control.

To the fullest extent permitted by law, Metaswap LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services.

Our total liability for any claim shall not exceed, for a creator, the total earnings paid to you by Metaswap in the three months preceding the event giving rise to the claim; and for a business or agency, the subscription fees and platform fees you paid to Metaswap in the three months preceding that event. Reserved campaign funds that remain yours are returned under the Funding & Refund Policy and are not a measure of damages.

You agree to indemnify and hold harmless Metaswap LLC and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the services, your content, your violation of any social platform’s terms, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the services at any time if you violate these Terms or engage in fraud, view manipulation, or other conduct that creates risk for Metaswap, brands, or other creators. You may stop using the services and delete your account at any time. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Brevard County, Florida.

We may update these Terms from time to time. We will post the updated Terms on this page and revise the effective date above. Continued use of the Site or services after changes constitutes acceptance of the updated Terms.
